Terms and Conditions

THE FOLLOWING DESCRIBES THE TERMS ON WHICH HIMSS AND ITS SERVICE PROVIDERS OFFER YOU ACCESS TO OUR LEARNING CENTER.

Welcome. The following describes the terms and conditions applicable to your participation in the Learning Center and use of event services.

We are a venue that permits attendees, sponsors and exhibitors the ability to meet and communicate online for the purpose of selling, marketing, networking, educating and conducting other related activities. The information, content and communication made available through this Learning Center, may not be created or provided by us, and we do not control the content, communication and information that are provided by the other attendees, sponsors or exhibitors through the Learning Center. You may find other attendees, sponsors or exhibitors information to be offensive, harmful, inaccurate, or deceptive. By attending the Learning Center, you agree to accept such risks and HIMSS and its Service Providers are not responsible for the acts or omissions of the attendees, sponsors or exhibitors of the Learning Center.

Registration data

All registration data from the HIMSS Virtual Events will be shared with the Sponsors/Exhibitors in advance of the event. These sponsors/exhibitors may contact you via email ONE TIME prior to the event. Following the event, all attendee registration data will be shared with the sponsors/exhibitors. These sponsors/exhibitors may contact you via email, phone or otherwise following the event. All registration data of those who enter the Learning Center will be provided to that sponsor/exhibitor, who may contact you via email, phone or otherwise following the event. These exhibitors are required to follow CANSPAM Act regulations and must remove you from any list when requested. HIMSS are not responsible for removal of any information from lists.

Attendee Conduct

You are entirely responsible for all suggestions, ideas, comments, questions and other content that you upload, post, email, transmit or otherwise make available via the Learning Center. You agree not to use the Learning Center to upload, post, email, transmit or otherwise make available any content that is illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights or otherwise objectionable or injurious to third parties or that consists of or contains software viruses, political campaigning, chain letters, mass mailings or any form of “spam.” You agree not to use a false e-mail address, impersonate any person or entity or otherwise mislead as to the origin any content. Additionally, you agree not to disrupt the normal flow of dialogue in the Learning Center, interfere with the servers or networks connected to the Learning Center, violate any applicable local, state, national or international law, “stalk” or otherwise harass other attendees of the Learning Center or collect or store personal data about other attendees of the Learning Center in connection with the prohibited activities set forth in this paragraph. We do not regularly review posted content, but we nevertheless reserve the right for any reason in our sole discretion to remove without notice any contents of the Learning Center. You agree not to post or distribute any information or material that is copyrighted by any third party without the express written consent of such party, and you agree to indemnify and hold harmless HIMSS and its Service Provider from any claim arising out of or relating to your violation of this provision.

No Warranty

HIMSS, AND ITS SERVICE PROVIDERS, OUR MANAGERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES AND OUR SUPPLIERS PROVIDE THE SHOW AND RELATED SERVICES "AS IS" AND WITHOUT ANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY. HIMSS, AND ITS SERVICE PROVIDERS, OUR MANAGERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES AND OUR SUPPLIERS SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Some states do not allow the disclaimer of implied warranties, so the foregoing disclaimer may not apply to you. This warranty gives you specific legal rights and you may also have other legal rights that vary from state to state.

Liability Limit

IN NO EVENT SHALL HIMSS, AND ITS SERVICE PROVIDERS, OUR MANAGERS, MEMBERS OFFICERS, DIRECTORS, EMPLOYEES OR OUR SUPPLIERS BE LIABLE FOR LOST PROFITS OR ANY SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH OUR SITE, OUR SERVICES OR THIS AGREEMENT ARISING FROM ANY CAUSE INCLUDING NEGLIGENCE.

HIMSS, AND ITS SERVICE PROVIDERS’S LIABILITY, AND THE LIABILITY OF OUR MANAGERS, MEMBERS, OFFICERS, DIRECTORS, EMPLOYEES, AND SUPPLIERS, IF ANY, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO THE GREATER OF (A) THE AMOUNT OF FEES YOU PAY TO US IN THE 12 MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY, AND (B) $50.

Indemnity

You agree to indemnify and hold HIMSS and its Service Providers and (as applicable) our members, managers, officers, directors, suppliers, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your improper use of the Learning Center or your violation of any law or the rights of a third party.

To the extent it does not conflict with the Terms and Conditions herein, the HIMSS Privacy Policy located at www.himss.org/asp/legal.asp#privacyapplies and is incorporated herein by reference.

Release

Because we are a venue, in the event that you have a dispute with one or more attendees, you release HIMSS, and its Service Providers (and our managers, members, officers, directors, agents, suppliers and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.
